Distributor Agreement

1. Introduction

This Distributor Agreement ("Agreement") is entered into between Surprise Granite ("Company," "we," "us") and the stone distributor ("Distributor," "you") who registers to sell products through the Surprise Granite Marketplace.

2. Marketplace Participation

As a registered distributor, you are granted a non-exclusive license to:

• List stone slab inventory on the Surprise Granite Marketplace
• Receive and respond to customer inquiries
• Use our distributor dashboard and analytics tools
• Access our API for inventory synchronization

3. Commission Structure

The following commission structure applies to all marketplace transactions:

• Commission Rate: 5% of the total transaction value
• No Subscription Fees: There are no monthly fees to list inventory
• No Listing Fees: You may list unlimited products at no cost
• Payment Terms: Commissions are invoiced monthly and due within 30 days

4. Distributor Responsibilities

As a distributor, you agree to:

1. Accurate Information: Provide accurate and truthful product descriptions, dimensions, images, and pricing
2. Inventory Management: Keep inventory status current and remove sold items promptly
3. Customer Service: Respond to customer inquiries within 24-48 business hours
4. Price Honor: Honor prices displayed at the time of customer inquiry
5. Quality Standards: Maintain product quality standards and accurate grading
6. Legal Compliance: Comply with all applicable laws, regulations, and tax requirements
7. Commission Payment: Pay commissions on completed transactions promptly

5. Product Listings

All product listings must include:

• Clear, high-quality images of the actual slab
• Accurate dimensions (length, width, thickness)
• Material type and brand name
• Color and finish description
• Price per square foot
• Availability status
• Pickup location

6. Prohibited Content

The following are prohibited on our marketplace:

• False or misleading product information
• Images that do not represent the actual product
• Counterfeit or misrepresented materials
• Price manipulation or bait-and-switch tactics
• Spam or duplicate listings

7. Intellectual Property

You grant Surprise Granite a non-exclusive, royalty-free license to use your product images and descriptions for marketing purposes, including but not limited to:

• Display on our website and marketplace
• Social media marketing
• Email newsletters
• Search engine listings

8. Data and Analytics

We provide analytics data about your listings, including:

• View counts and engagement metrics
• Inquiry statistics
• Search ranking information
• Conversion metrics

This data is provided to help you optimize your listings and is subject to our Privacy Policy.

9. Account Termination

Either party may terminate this Agreement at any time. Upon termination:

• Your listings will be removed from the marketplace
• Outstanding commissions remain payable
• You retain access to historical data for 30 days

We reserve the right to suspend or terminate accounts that violate this Agreement without prior notice.

10. Limitation of Liability

Surprise Granite is a platform facilitating connections between distributors and buyers. We are not a party to transactions and are not responsible for:

• Product quality or defects
• Delivery or shipping issues
• Payment disputes between parties
• Installation or fabrication issues

11. Indemnification

You agree to indemnify and hold harmless Surprise Granite from any claims, damages, or expenses arising from:

• Your products or services
• Violations of this Agreement
• Infringement of third-party rights
• Your interactions with customers

12. Modifications

We reserve the right to modify this Agreement at any time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of the marketplace after changes take effect constitutes acceptance.

13. Governing Law

This Agreement shall be governed by the laws of the State of Arizona. Any disputes shall be resolved in the courts of Maricopa County, Arizona.
